Client Portal Terms & Conditions

Please review and accept these terms before continuing into the portal.

These Terms of Service ("Terms") govern access to and use of the PBS Client Financial Portal (the "Portal") provided by Paramedic Billing Services ("PBS").

By clicking "I Agree", you agree to be bound by these Terms.

I. Acceptance and Authority

a. Organizational Acceptance (Org Admin). If you are accepting these Terms as an administrator or authorized representative of a Fire Department or Fire Protection District ("Client"), you represent and warrant that:

  • you are an employee or authorized agent of the Client, and
  • you have authority to bind the Client to these Terms, and
  • your acceptance is on behalf of both yourself and the Client.

II. Individual User Acceptance

a. If you are accepting these Terms as an individual user, you agree to comply with these Terms and acknowledge that your access is granted on behalf of the Client.

III. Scope of Portal and Data

a. Permitted Data. The Portal provides financial and operational summary information relating to billing and collections services performed by PBS for the Client, including aggregated metrics and account-level financial data.

b. View-Only Access. All Portal access is read-only. Users may not modify, manipulate, or input data into PBS systems through the Portal.

IV. Authorized Use

a. Users may access the Portal solely for the Client's internal business purposes related to billing oversight, reconciliation, and financial review.

b. Users shall not:

  • share login credentials or allow access by unauthorized persons;
  • attempt to access data belonging to another client;
  • scrape, copy, probe, reverse engineer, or interfere with the Portal;
  • use the Portal for unlawful or unauthorized purposes.

V. Account Security Obligations

a. Users agree to the following security obligations:

  • Unique Credentials – Each user must use their own credentials; shared accounts are prohibited.
  • Password Management – Users will maintain reasonable password security consistent with industry standards.
  • Multi-Factor Authentication (MFA) – Users will comply with MFA requirements.
  • Device Security – Users will take reasonable steps to keep devices used to access the Portal secure and updated.
  • Incident Notification – Users will promptly notify PBS within 24 hours of discovery of any suspected credential compromise, lost/stolen devices containing stored credentials, or separation of personnel who had Portal access.

VI. Monitoring and Logs

a. PBS may log and monitor Portal access and usage for security, compliance, and operational purposes. Use of the Portal constitutes consent to such monitoring.

VII. Suspension or Termination of Access

a. PBS may suspend or terminate access to the Portal:

  • to protect system security as determined in PBS's reasonable discretion,
  • upon suspected misuse or compromise,
  • upon termination of services, or
  • as required by law.

b. PBS is not liable for losses resulting from suspension undertaken in good faith for security reasons.

VIII. Disclaimers

a. THE PORTAL AND DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE." PBS MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.

b. Portal data is informational only and should not be relied upon as the Client's official books or records without independent verification.

IX. Limitation of Liability

  • In no event shall PBS be liable for any indirect, incidental, consequential, special, or punitive damages, including without limitation loss of revenue, loss of data, or loss of use, arising out of or relating to the Portal or these Terms, even if advised of the possibility of such damages.
  • PBS's total cumulative liability arising out of or relating to the Portal or these Terms shall not exceed the total fees actually paid by the Client to PBS for services during the twelve (12) months immediately preceding the event giving rise to the claim.
  • The foregoing limitations shall not apply to liability arising from PBS's gross negligence or willful misconduct.

X. Indemnification

a. The Client agrees to indemnify and hold harmless PBS from claims, damages, or losses, including third party claims, to the extent caused by:

  • unauthorized access resulting from credential sharing or failure to comply with security obligations, or
  • misuse of the Portal by the Client or its users.

XI. Modifications to Terms

a. PBS may update these Terms from time to time. Material changes will require re-acceptance through the Portal. Continued use after acceptance constitutes agreement to the updated Terms.

XII. Governing Law and Venue

a. These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-laws principles. Any legal action or proceeding arising out of or relating to these Terms or the Portal shall be brought exclusively in the state or federal courts located in DuPage County, Illinois, and the parties hereby consent to the personal jurisdiction and venue of such courts.
